Terms of Membership

These Terms of Membership ("Terms") govern your membership in Aureus Circle, operated by Webzworld Digital Solutions ("the Company"). By applying for, accepting, or using any membership benefit of Aureus Circle, you agree to be bound by these Terms. Please read them carefully.

1. Eligibility and Application

Membership in Aureus Circle is by application and invitation only. To be eligible, you must:

• Be a business owner, founder, director, or senior decision-maker of a legitimate operating business.
• Be at least 18 years of age.
• Operate with integrity and in compliance with applicable Indian laws.
• Be nominated or invited by an existing member, or apply through the official application process on this website.

Submission of an application does not guarantee membership. The Company reserves the right to accept or decline any application at its sole discretion without providing reasons.

2. Membership Fees and Payments

Aureus Circle charges a non-refundable enrollment fee upon acceptance into the network, followed by an annual membership fee to maintain active status.

• All fees are quoted and charged in Indian Rupees (INR).
• Payments are processed securely via Razorpay. The Company does not store your card or payment credentials.
• Annual membership fees must be paid before the renewal deadline shown in the app. Failure to pay by the deadline results in automatic suspension of access.
• The Company may revise fee amounts with at least 30 days' notice to existing members prior to their renewal date.

3. Member Lifecycle and Access

Membership progresses through the following stages:

• Applied: Application submitted, pending review.
• Enrolled: Application accepted; enrollment fee paid; trial access granted.
• Shortlisted: Member shortlisted for full membership; annual fee due by a specified deadline.
• Active (Founding Member): Full access granted upon payment of annual membership fee.
• Suspended: Access paused due to missed payment deadline or a breach of these Terms. Reinstatement requires payment of outstanding fees and approval by the Company.

Access to the Platform is tied to your membership status. Suspended accounts cannot view deal posts, respond to deals, or use any paid features until reinstated.

4. Code of Trust and Member Conduct

Every Aureus Circle member agrees to the following standards of conduct:

• Honesty: All deal posts, business descriptions, and member profiles must be truthful and accurate. Misrepresentation of your business, capabilities, or identity is grounds for immediate termination.
• Genuine Intent: Post only deals you intend to pursue. Do not create fictitious WANTs or OFFERs to inflate visibility or test the system.
• Respect: Treat all members with professional courtesy. Harassment, discrimination, or abusive communication of any kind is prohibited.
• Confidentiality: Information shared within the platform by other members — including contact details revealed during a deal match — is shared in confidence. Do not disclose member phone numbers, deal details, or other private information outside the platform.
• No Solicitation: Do not use Aureus Circle to recruit members into unrelated business opportunities, multi-level marketing, or schemes unrelated to the stated deal exchange purpose.
• Legal Compliance: All business conducted through connections made on Aureus Circle must comply with applicable Indian law. The Company is not party to any transaction between members.

5. Deal Exchange Rules

• Deal posts (WANTs and OFFERs) must relate to legitimate B2B trade — goods or services that your business actually buys or sells.
• Posts expire after the duration specified at time of posting. Expired posts are automatically removed from the active feed.
• When a buyer accepts a seller's response, both parties' phone numbers are exchanged. This is the point of introduction — the deal itself is between you and the other member. Aureus Circle is not a party to, and bears no liability for, the outcome of any transaction.
• When a deal is closed, you are encouraged to mark it as complete in the app so it may appear on the Success Feed (subject to moderation).
• Success Feed submissions are reviewed and may be approved, rejected, or hidden at the Company's discretion.

6. Intellectual Property

All content on the Aureus Circle Platform — including design, text, logos, and software — is owned by or licensed to the Company. You may not reproduce, copy, or distribute any part of the Platform without prior written consent.

You retain ownership of content you post (deal descriptions, profile information). By posting, you grant the Company a non-exclusive licence to display this content within the Platform and, for closed deals, on the public Success Feed.

7. Limitation of Liability

Aureus Circle is a platform that facilitates introductions between businesses. The Company:

• Does not verify the accuracy of deal posts, member profiles, or business credentials beyond the application process.
• Does not guarantee that any deal posted will result in a transaction.
• Is not responsible for the outcome of any business transaction between members.
• Is not liable for any direct, indirect, incidental, or consequential loss arising from your use of the Platform or reliance on any information posted by other members.

The Company's total liability to you for any claim shall not exceed the membership fee paid by you in the 12 months preceding the claim.

8. Termination of Membership

The Company may suspend or terminate your membership at any time for:

• Breach of these Terms or the Code of Trust.
• Fraudulent or misleading conduct.
• Behaviour that damages the reputation or interests of the network or its members.
• Non-payment of fees by the applicable deadline.
• Any other reason the Company deems sufficient to protect the integrity of the network.

You may also terminate your membership at any time by contacting us. Termination does not entitle you to a refund of any fees paid.

9. Amendments

The Company may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

10. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms or your membership shall first be attempted to be resolved through good-faith discussion. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra.

11. Entire Agreement

These Terms, together with the Privacy Policy and any membership agreement you have signed, constitute the entire agreement between you and the Company with respect to your membership. They supersede all prior communications, representations, or agreements.
